Please read these terms carefully before using the AgMitra platform. They govern your use of our services.
1. Acceptance of Terms
- By accessing or using the AgMitra platform, you agree to be bound by these Terms & Conditions and all applicable laws and regulations.
- If you do not agree with any part of these terms, you must not use the platform.
- These terms apply to all users, including farmers, investors, and any other parties interacting with the platform.
2. Eligibility
- You must be at least 18 years of age to register and use the AgMitra platform.
- You must complete the KYC (Know Your Customer) verification process before investing or listing a farm project.
- AgMitra reserves the right to refuse registration or access to any user at its sole discretion.
- Users from jurisdictions where agricultural investment platforms are prohibited by law are not permitted to use AgMitra.
3. Investment Terms
- All investments made through AgMitra are subject to the specific terms disclosed in each individual project listing.
- Investments are not guaranteed. Agricultural investments carry inherent risks including crop failure, market price fluctuation, and weather events.
- Returns are not guaranteed and are dependent on the actual harvest yield, crop sale price, and verified expenses.
- AgMitra does not provide financial advice. Investment decisions are entirely the responsibility of the investor.
- Minimum and maximum investment amounts are specified per project and must be adhered to.
4. Farmer Obligations
- Farmers must provide accurate and complete information about their land, farming practices, and financial history during registration.
- Farmers must use the capital exclusively for the agricultural activities specified in the approved project plan.
- Farmers must allow platform auditors and agronomists access to the farm for verification and monitoring purposes.
- Farmers must maintain accurate expense records and submit them through the platform at the required intervals.
- Any misuse of funds or fraudulent activity will result in immediate account suspension and legal action.
5. Platform Fees
- AgMitra charges a platform fee that is disclosed per project before any investment is committed.
- Platform fees are deducted from the gross profit before distribution to investors.
- Farmers may be charged a listing fee and/or a percentage of funds raised, as disclosed during the project approval process.
- All fees are final and non-refundable once a project campaign has been funded.
6. Profit Distribution
- Profit distribution occurs after the crop sale is completed and all expenses are verified and audited.
- Profits are distributed proportionally based on each investor's share of the total funded amount.
- In the event of a loss, investors will be notified promptly and insurance claims will be initiated as applicable.
- AgMitra targets distribution within 30 days of completed crop sales, subject to banking clearance timelines.
7. Risk Disclosure
- Agricultural investment involves significant risk. Past performance of any farm or crop does not guarantee future results.
- Factors beyond AgMitra's control — including climate, disease, regulatory changes, and market prices — may affect returns.
- Investors should only invest funds they can afford to lose and are encouraged to diversify across multiple projects.
- Insurance coverage, where applicable, may not fully compensate for all losses.
8. Intellectual Property
- All content on the AgMitra platform, including text, graphics, logos, and software, is the property of AgMitra and protected by applicable intellectual property laws.
- Users may not reproduce, distribute, or create derivative works from any AgMitra content without prior written consent.
9. Limitation of Liability
- AgMitra shall not be liable for any indirect, incidental, or consequential damages arising from the use of the platform.
- AgMitra's total liability to any user shall not exceed the platform fees paid by that user in the preceding 12 months.
- AgMitra is not responsible for the actions of individual farmers, buyers, or logistics partners.
10. Governing Law
- These Terms & Conditions are governed by the laws of Singapore.
- Any disputes arising from the use of the platform shall be resolved through binding arbitration in Singapore.
- Users consent to the exclusive jurisdiction of the courts of Singapore for any matters not subject to arbitration.
These Terms & Conditions may be updated periodically. We will notify registered users of significant changes via email. Your continued use of the platform constitutes acceptance of the updated terms. For questions, contact legal@agmitra.com.
